Definitions
“The Company” means Razer Training Limited and any sub-contractor for the company.
“In-house Course” means educational courses offered by Razer Training Limited for an individual corporate customer at a location specified by the customer.
“Public Course” means educational courses offered by Razer Training Limited at locations specified within the course booking details.
“Consulting” means professional advice offered by Razer Training Limited at locations specified by the Customer.
“Customer” means the person, firm or corporation identified as enrolling a Delegate on a Public or In-house Course by way of a relevant written confirmation of enrolment.
“Confirmation” means a legally binding contract instructing Razer Training Limited to invoice the Customer.
“Delegate” , “Trainee”, “Learner” and “Participant” means a person attending a Public or In-house Course.
“Course Materials” means any documentation, listings instructions and statements in either machine-readable or printed form.
“Working Day” means any day of the week excluding Saturday, Sunday and UK statutory holidays.
General
These Conditions shall be deemed to be incorporated in all contracts and in the case of any inconsistency with any order or letter or correspondence sent by the Customer to Razer Training Limited or any other communication between the Customer and Razer Training Limited whatever may be their respective dates these Conditions shall prevail unless expressly varied in writing and signed by a director on behalf of Razer Training Limited.
If Razer Training Limited chooses not to enforce any of the Conditions this shall not affect the rights of Razer Training Limited under the remainder.
If in any particular case any of these Conditions shall be held to be invalid or shall not apply to the contract the other Conditions shall continue in full force and effect.
Warranty
Razer Training Limited warrants that all Public and In-house Courses and Consulting supplied hereunder will be conducted in a professional manner in accordance with generally recognised practices and standards.
Razer Training Limited warrants that it will provide appropriately qualified and experienced instructor(s) and consultant(s) to deliver Razer Training Limited Public and In-house Courses and Consulting using suitable materials, including Course Materials.
Razer Training Limited warrants that it will not knowingly include any third party copyright material in its Course Material without a license or without the consent of the copyright owner.
Razer Training Limited warrants that all personnel provided by Razer Training Limited are employees of or contracted to Razer Training Limited.
Extent of Services
Razer Training Limited reserves full control of how its personnel will carry out its professional training.
The contents of course schedules are intended for general guidance only and do not form any part of a contract and Razer Training Limited reserves the right to make any reasonable variations to the Public and In-house Courses (including the content of the courses) without notice.
Any typographical clerical or other error or omission in any sales literature, administrative documentation, Course Materials, invoice or other document or information issued by Razer Training Limited shall be subject to correction without any liability on the part of Razer Training Limited.
All Public and In-house Courses are delivered solely in the English language and all Delegates must be sufficiently proficient with the English language before attending a Public Course/in-house course.
Authorisation and Obligations of the Customer:
All bookings for Public and In-house Courses must be supported by written confirmation.
The Customer certifies that unless otherwise notified to and agreed with Razer Training Limited all Delegates attending a Public or In-house course are employed directly by the Customer.
In all cases the Customer undertakes to bring these terms and conditions to the attention of the Delegates attending a Public Courses are suitably qualified and experienced to attend the Public Course in accordance with the published prerequisites.
Fees/Charges
For Public Courses, prices are inclusive of tuition, examination fees, Course Materials, lunch, refreshments and the reasonable use of materials, publications and machines (where applicable) by the Delegate for the period of the course.
The price does not include any travel, accommodation or living expenses which the Delegate may incur in attending the course.
For In-House Courses, prices include tuition and Course Materials. For examination based courses there is an additional charge per Delegate, for examination fees, licensed materials and accreditation fees.
Prices quoted exclude VAT or other sales taxes which will be added at the prevailing rate. Where a Delegate is attending a Public Course in the UK, regardless of the Delegate's country of origin, the point of supply for VAT purposes is the location of the course.
Razer Training Limited reserves the right to charge interest on late payments at 2.5% over Santander Business Bank bank base rate.
Payment Terms
Razer Training Limited will raise an invoice upon receipt of a Confirmation.
A deposit of 25% will be required for all In-house courses, to be paid no more than 14 working days before course commencement.
Substitutions, Transfers and Cancellations by the Customer
The Customer may substitute a Delegate on a Public Course at no additional charge subject to the new Delegate meeting the prerequisites when notifying Razer Training Limited.
Normally a provisional booking will be held for a period not in excess of 5 Working Days.
Cancellations and Transfer Policy
If you cancel your Public Course booking the following will apply:
- More than 28 days prior to start date = 10% to cover administration fees
- 28-7 working days prior to start date = 50% of total Course Fee
- Less than 7 working days prior to start date = 100% of total Course Fee
If you transfer your Public Course booking to another Razer Training Course the following will apply:
- More than 28 days prior to start date = No charge
- 28-7 working days prior to start date = 20% of total cost
- Less than 7 working days prior to start date = 50% of total course
If you cancel your In-house Course booking the following will apply:
- More than 28 days prior to start date = No charge
- 28-7 working days prior to start date = 50% of total Course Fee
- Less than 7 working days prior to start date = 100% of total Course Fee
- Pre Course Packs already dispatched will be charged for.
Cancellations and changes to Public Courses by Razer Training Limited
Razer Training Limited reserves the right to change or cancel a Public or In-house Course and undertakes to provide reasonable notice of the cancellation or change. This condition is exempt in the case of an emergency.
The Customer will be entitled to a full refund of any fee paid to Razer Training Limited in the event of a cancellation or any change to the course date or significant change in location. The customer will not be entitled to compensation, damages or costs arising from such a cancellation.
Prerequisites and Admission
Razer Training Limited reserves the right to refuse or reduce the provision of training services if a Learner/Delegate or substitute Learner/ Delegate nominated by the Customer fails to satisfy the requirements of a Public Course as published.
Razer Training Limited reserves the right to refuse admission to any person whom it considers in its absolute discretion to be unsuitable for admission to Razer Training Limited premises or to remove any such person after the commencement of a Public Course.
Copyrights
Copyright and all intellectual property rights for all Course Materials shall remain the property of Razer Training Limited or the trading partner of Razer Training Limited responsible for developing that course.
The Customer agrees not to reproduce, sell, hire or copy Course Materials (in whole or in part) and not to use such materials except for the purposes of post course reference.
Assignments
Razer Training Limited may assign all or part of its interest in this Agreement.
The Customer may not assign or transfer this contract or any interest therein or claim there under without the prior written approval of Razer Training Limited.
Force Majeure
Razer Training Limited shall not be in breach of this contract if there is any total or partial failure of performance by it of its duties and obligations under this contract occasioned by but not exclusively any act of God, fire, act of government or state, war, civil commotion, insurrection, embargo, prevention from or hindrance from obtaining any raw materials or energy, sickness or other cause beyond its reasonable control.
If Razer Training Limited is unable to perform its duties and obligations under this contract as a direct result of the effect of one or more of such causes that Razer Training Limited shall give written notice to the Customer of such inability stating the cause in question. The operation of these Conditions shall be suspended during the period in which the cause continues to have effect.
Forthwith upon the cause ceasing to have effect Razer Training Limited shall give written notice thereof to the Customer.
Limits of Liability
Razer Training Limited’s entire liability and that of its employees and consultants and the Customer's sole remedies in respect of any claim shall be as set out in this clause unless otherwise expressly stated. The Customer's remedy in respect of any claim shall be limited to damages to a maximum of £100.
Non-procurement
The Customer agrees that if within a period of 6 months after the attendance of a Delegate on a Public or In-house Course the Customer shall entice or procure any person to leave Razer Training Limited employment or to terminate a contract for services with Razer Training Limited it will make a payment to Razer Training Limited equivalent to 50% of the employee's gross annual remuneration at the date of termination.
Personal Belongings
Personal belongings and items belonging to or in the possession of the Customer or Delegate brought onto Razer Training Limited premises are the sole responsibility of the owner and Razer Training Limited accepts no responsibility for such items.
Governing Law and Jurisdiction
This Agreement (Contract) shall be governed by the laws of Scotland and the parties submit to the exclusive jurisdiction of the courts of Scotland in respect of any dispute or difference between them arising out of this Agreement (Contract).
